Submission Guidelines

This Agreement constitutes the terms and conditions, pursuant to which, your story will be submitted to Green & Black’s, a division of Cadbury Adams USA LLC (“Green & Black’s”) for the “Your Stories” feature of the Green & Black’s Organic website (the “Project”). This Agreement is a binding legal agreement between you and Green & Black’s and you must agree to the terms set forth below before your story may be submitted to and reviewed and considered by Green & Black’s. Once you have read and believe that you fully understand the terms and conditions of this Agreement, you will be asked to either “Accept” or “Decline” the terms of this Agreement. Please note that if you choose “Decline”, you will not be able to submit your story.

  1. You warrant and represent that you are over the age of eighteen (18).
  2. You are not an employee of Green & Black’s, Cadbury Adams USA LLC, Brilliant Blue, their respective parents, affiliates or agencies.
  3. You understand and agree that any story submitted to Green & Black’s shall be owned by Green & Black’s. You agree that upon request by Green & Black’s, you will assign, in writing, any right, title and interest you have in the story to Green & Black’s and execute any documents relating to the assignment of your rights in the story to Green & Black’s.
  4. You represent that the story you have submitted to Green & Black’s pursuant to this Agreement, is one that originated with you, the subject matter is one that originated with you and that you have a legal right to submit it to Green & Black’s.
  5. To the best of your knowledge, you are not aware that your story is owned by or the subject of any prior trademark, copyright, patent, trade secret or any other intellectual property rights of a third party.
  6. You understand that Green & Black’s is not obligated to consider or use any story that you submit to Green & Black’s.
  7. You understand that Green & Black’s is not required or obligated to compensate you for your story and for Green & Black’s use of your story in connection with the Project.
  8. Although Green & Black’s has no obligation to review or monitor submissions of stories, Green & Black’s expressly reserves the right not to use any story which it believes in its sole and absolute discretion is inappropriate, offensive, damaging, inflammatory, promotes dangerous activities or otherwise objectionable.
  9. Green & Black’s is not responsible for: (i) any loss or corruption of data and/or files resulting from suspension or deletion of data and/or files, network or system outages, file corruption or for any other reason, nor is it required to return any data or (ii) any loss or damage to your computer or any other loss or damage arising from or in connection with your submission of the story or comment or your participation in the Project.
  10. You hereby release and forever discharge Green & Black’s and its designees and licensees, and their respective officers, employees, directors, shareholders and agents, from any and all claims and liability resulting from your submission of a story in connection with the Project, Green & Black’s use of such story as permitted herein, or otherwise your participation in the Project.
  11. The text displayed as part of the Project does not represent and should not be considered as the views of Green & Black’s.
  12. Green & Black’s will not knowingly use (and you agree that you will not submit), without limitation, (a) stories containing pornographic, sexual or obscene material, (b) stories containing offensive or racist material, (c) stories not owned by the user, (d) stories that incorporate, without limitation, the names of individuals, personally identifiable information, third party trademarked products or copyright material, (e) stories depicting, promoting and/or inciting violence or dangerous activities (f) stories depicting, promoting or providing instruction regarding illegal activities, (g) stories depicting, promoting or inciting cruelty to animals, and (h) stories infringing on another's right of publicity.
  13. You understand that any story submission to Green & Black’s is not confidential, that no confidential relationship exists between you and Green & Black’s and that Green & Black’s may disclose or use the submission in its full version or in the manner it deems appropriate.
  14. In the event that there is any inconsistency between this Agreement and Green & Black’s Privacy Policy, Terms of Use and any other agreements, statements or policies that are applicable to the use of the Green & Black’s Organic website or promotions thereon, this Agreement shall apply and be controlling.
  15. You agree to abide by the terms and conditions set forth in this Agreement and agree to indemnify and hold harmless Green & Black’s for any and all damages or liability sustained as a result of your failure to comply with the terms and conditions set forth in this Agreement.
  16. You acknowledge and agree that this Agreement is entered into in the State of New York. This Agreement and any dispute which arises under or in connection with this Agreement, shall be interpreted under the laws of the State of New York and, with respect to patents, trademarks and copyrights under the laws of the U.S. District Court for the Southern District of New York.
  17. In the event that any provision of this Agreement is held to be invalid or unenforceable, the validity and enforceability of the remaining provisions shall not be affected thereby.
